A. CHANGE OF INFORMATION AND SERVICES
I. By using this Portal, the Client agrees to be bound by these terms and conditions as they may be modified, amended, changed, added or removed with or without notice at any time by YILPORT. Please check this page periodically for changes, since your continued use of this website following the changes will indicate your acceptance of those changes.
II. At YILPORT’s sole discretion that the inconsistency of Client with these terms and conditions, YILPORT shall have right to change, terminate, suspend or discontinue your access to, and use of the Portal, with or without notice. The Client agrees that YILPORT shall not be liable to the Client or to any third party for any modification, suspension or discontinuation of Portal or Terms of Use.
B. COPYRIGHT
I. YILPORT shall own any data created as a result of operation of the Portal and all intellectual property rights in this Portal as a whole under the laws of any governmental authority, domestic or foreign.
II. The entire content of the Infinity Portal, including any image, text or presentation is copyrighted and may not be distributed, downloaded, modified, reused, reposted, or otherwise used these trademarks, copyrights, or other materials, except as permitted herein, is expressly prohibited.
III. Use of Portal does not grant Client any rights or licenses to use such marks, logos, names or trade dress.
C. ACCOUNT AND ACCESS
I. Client is responsible for all use of its account and maintaining the confidentiality of all passwords and information. Client must treat such information as confidential and not disclose it to any third party.
II. Client agrees to notify YILPORT’s Portal Administrator immediately when an individual login account is to be terminated or Client or Client’s employer is no longer a customer or partner of YILPORT.
III. YILPORT has the right to disable any user identification code or password, whether chosen by the Client or provided by YILPORT, at any time, if in YILPORT’s reasonable opinion the Client have failed to comply with any of the Terms.
IV. YILPORT may grant right to Client to authorize other users (end user) to have access on the Portal whereby YILPORT does not assume any obligation or liability in connection therewith . Any end user, who has been granted access to Portal is thereby deemed to agree to be bound by these terms and conditions. YILPORT and its related partnerships, affiliates, corporations, associated companies, directors, officers, employees, agents or representatives will not be liable for any usage, information sharing, decision made or action taken by any end user in this regard.
D. PERSONAL DATA PRIVACY
I. By accessing YILPORT’s website, certain information about users, such as internet protocol (IP) addresses, navigation through the sites, cookies, time spent, as well as other similar information, will be stored on YILPORT servers. These will not specifically identify users and the information will be used internally for website traffic analysis only. If users provide unique identifying information, such as name, address and other information on forms stored on this site, this information will be used for statistical purposes only and will not be published or made available for general access.
E. USE OF PORTAL
I. The Client shall not, directly or indirectly, (a) license, sell, lease, assign or otherwise transfer content of the Portal; (b) change or permit a third party to change any part of the Portal; (c) access or use any content, information or materials of any third party available at the Portal; (d) use or permit the use of the Portal except for the Client’s access to its own customer information; (e) distribute copies of information, materials or content of the Portal in any form without prior written permission, or (f) disassemble, decompile, reverse engineer or otherwise attempt to derive source code or other trade secrets from the Portal software.
II. In order to maintain security, Client agrees to assign a single individual as the authorized person to contact YILPORT to request user logins.
III. Client is solely responsible for compliance with all applicable laws and regulations that may govern own access and use of this Web site.
IV. Client may not create a link to this Portal from another Portal or document without YILPORT’s written consent.
F. DISCLAIMER OF WARRANTIES AND LIMITATIONS ON LIABILITY
I. YILPORT and its related partnerships, affiliates, corporations, associated companies, directors, officers, employees, agents or representatives will not be liable for any decision made or action taken in reliance on the information on this Portal or for any loss, damage, or claims of whatever nature of for any direct, indirect, incidental, consequential, special, punitive, or other damages whatsoever, including, but not limited to, liability for business interruption or loss of data or profits arising out of access to or use of this Portal, or its services, even if YILPORT is expressly advised of the possibility of any loss, claims or damages
Due to the complex nature of software and the internet, neither YILPORT, nor any of the above mentioned parties accept or assume any responsibility, and shall bear no liability for any damages to or viruses that may infect Client’s computer, any other hardware, software or other IT systems or other property on account of Client’s accessing, browsing and/or using this Portal and any of its services or downloading of any material, data, text, images from the Portal. Although YILPORT has taken proactive actions so that such problems will not affect our business, it is your responsibility to consider taking steps to prevent these problems include using password protection, anti-virus programs, and firewall.
II. While YILPORT has made every attempt to ensure that the information contained in this Portal is accurate and up to date, YILPORT is not responsible or liable for any errors, inaccuracies or omissions, misuse or conversion of any data or information contained in or derived from, this Portal, -or from the results obtained from the use of any data or information. III. YILPORT neither warrants nor represents that Client’s use of material displayed on the Portal will not infringe rights of third parties not owned by or affiliated with YILPORT.

The Client warrants that any content uploaded to the Portal complies with the Terms and does not violate any right of any third party, including copyright, trademark, or other proprietary rights or otherwise contain unlawful, abusive, offensive or obscene material. The Client will be responsible for any loss or damage we suffer as a result of Client’s breach of warranty. Client’s access to and use of the Portal and the content are entirely at Client’s own risk.
V. All data entered by the authorized client user will be taken by YILPORT as officially communicated order and/or operative information and, if this data overwrite the already settled / previously entered information or EDI message if not blocked, YILPORT will assume and operate in line with the latest data entered in the system. If the data is blocked due to consistency of the operations or orders, client may need to directly contact to YILPORT to make necessary changes.
G. DISPUTE RESOLUTION
I. Terms and conditions, and any other legal notices published by YILPORT on the Portal shall constitute the entire agreement between the Client and YILPORT concerning the use of Portal.
II. These terms, and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of the Republic of Turkey without regard to conflicts of law provisions. Turkish courts shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these terms.
